ONLINE BANKING AGREEMENT INTEGRITY FIRST BANK

This Agreement describes Online Banking Terms and Conditions in Part II. It also includes a Consent to Electronic Documents in Part I that would permit the Bank to deliver to You certain future disclosures, notices and agreements in electronic form only, if You consent in electronic format to demonstrate Your ability to access the information. You may agree to Part I and/or Part II of this Agreement.

Please read this Agreement carefully. The Online Banking Terms and Conditions apply to Your use of Online Banking Services provided by Integrity First Bank, which permits Your to access Your Accounts with us via the Internet for Services selected by You and agreed upon by us.

PART I

CONSENT TO ELECTRONIC DOCUMENTS (eDocuments)

The E-Sign Act (Electronic Signatures in Global and National Commerce Act) provides a general rule of validity for electronic documents and signatures, and allows the use of electronic documents to satisfy requirements of law, regulation or rule of law requiring information be provided in writing. Integrity First Bank supports technology to provide You with information relating to Your bank Account in electronic form via the Internet, referred to as "eDocuments".

By consenting to eDocuments, You do not forfeit the right to receive paper records. You may request paper copies of records and may be charged a fee. You may withdraw Your Consent to eDocuments at any time by calling us at 715-845-0900 or writing us at Integrity First Bank, 101 Grand Avenue, Wausau, WI, 54403. In the event that You withdraw Your consent, the bank may assess a fee (refer to Fee Schedule) to offset the cost of sending You information by paper delivery.

Some examples of information that Integrity First Bank would provide electronically include information required by banking regulations such as: change in terms, notice of a fee or other Account term, deposit statements, maturity notices under the Truth in Savings Act (Reg. DD), annual error resolution notice under the Electronic Funds Transfer Act (Reg. E), annual privacy notice entitled: “What does Integrity First Bank Do With Your Personal Information?” (Reg. P), adverse action notice required under the Equal Credit Opportunity Act (Reg. B), loan disclosures and statements under Truth In Lending (Reg. Z) and the Real Estate Settlement Procedures Act. In addition, the Bank may provide deposit and loan Account disclosures and notices. Deposit: Account statements, debit card disclosures, information related to Account activity or inactivity and general Account operation or maintenance such as over limit fee, overdraft notices, transfer notices, checks paid/returned notices, certificate of deposit maturity notices, deposit rate sheets fee schedule, stop payment fee, bill payment service terms and conditions. Loan: Account statements, loan billing statements and notices, line of credit advance and rate change notices, escrow payment and change notices. Required Account information will be available for at least 90 days, though generally, this information will be available for 12 months. The Bank may choose to send You items by regular mail at its discretion, even with this Consent to eDocuments.

Integrity First Bank will notify You by email or message within Online Banking when required notices and other documents are available for viewing. If Your email address should change in the future, You must update Your new contact information. To update Your personal contact information, You will need to either (1) login to Online Banking and click on Options and then select Edit E-Mail or (2) contact the Bank at 715-845-0900 to request a Change of Address form and then the Bank will deliver this form electronically or by mail to You for Your update and signature.

In general, to access Integrity First Bank Online Banking, You will need internet access, Your Username and Password and Adobe Acrobat Reader to view, print and/or save electronic information. Specifically, the hardware and software requirements You need to access and retain electronic records follow. If a change in the hardware or software requirements would affect Your ability to access or retain information subject to this Consent, You will be provided a statement of the revised requirements and an opportunity to consent or to withdraw consent to eDocuments.

  3. You can export Your checking and savings Account Transaction information from Online Banking. First select the Account from which You wish to export the information. From the "Transactions" drop down menu, select "Export Transactions".
  4. You will be able to select the format that Your Personal Financial Management software accepts:

    Comma Separated File-Excel (.CSV)
    Microsoft Money (.OFX)
    Quickbooks 2003 to 2010 (.QBO)
    Quickbooks 2002 & Earlier (.IIF)
    Quicken 2004 to 2010 (.QFX)
    Quicken 2003 & Earlier (.QIF)

    When You are using Your financial software, Quicken® or Microsoft Money®, for example, You can use their import function to bring in the Online Banking information file that was exported.

Your Affirmative Consent

I agree that I have received the information about eDocuments to access and retain information in electronic form, and that I can meet technical requirements necessary to suit my needs. I consent to receive eDocuments as set forth in this Agreement.

PART II

ONLINE BANKING TERMS AND CONDITIONS

  1. DEFINITIONS
  2. The following definitions apply in this Agreement.

    "Online Banking Services" is the Internet-based Service providing access to Your Account(s) under the terms set forth in this Agreement and is used interchangeably with the terms “Service”, “Services”, or “Online Banking”
    "Online Account" means any Integrity First Bank Account from which You will be conducting Transactions using Your Services
    "Password" is the code given to You by Integrity First Bank for use during the initial sign-on, or the code You select after the initial sign-on, that establishes Your connection to the Service
    “Account” means Your deposit and loan Accounts with us, including but not limited to: checking, savings, money market, certificate of deposit, home equity line of credit, personal reserve Account, and other products
    "Time of day" references are to Central Standard Time or Central Daylight Time, as applicable
    "Business Day" means Monday through Friday, excluding Federal Reserve holidays
    "Cutoff Time" means 6:00 p.m. Central Time on Business Days
    "Transaction" means the preparation and remittance of Your payment by US Mail or electronic means
    "We" or "Us" refer to Integrity First Bank, which offers the Services and holds the Accounts accessed by the Services
    “You” or “Your” refers to a customer of Integrity First Bank

  3. ONLINE BANKING AGREEMENT
  4. Your Account is subject to our deposit Account agreement entitled “Understanding Your Deposit Account”, or Your loan agreement with us.

    This Agreement applies to all persons that are parties to the Account(s). This Agreement contains the terms and conditions governing Online Banking Services, including disclosures required by federal law. Please read this Agreement carefully and keep a copy for Your records.

    By subscribing to Online Banking Services, You acknowledge that You have received and read this Agreement and agree to its terms and conditions. You also acknowledge that this Agreement has been accepted by one or more of the persons who established the subject Account with us.

    We reserve the right to amend the terms and conditions of this Agreement at any time upon reasonable advance notice to You by enclosing a notice of such changes in a statement we send to You or by posting notice of the changes on our Online Banking website. Your continued use of the Service is Your acknowledgement that You have received these agreements and intend to be bound by them. You should review other disclosures received when You open Your Accounts at Integrity First Bank, including the charges that may be imposed for electronic funds transfers or the right to make transfers listed in the fee schedules accompanying those disclosures and the fee schedule at the end of this Agreement.

  5. YOUR USERNAME AND PASSWORD
  6. You will gain access to Your Online Accounts through the use of Your Internet-enabled device, Your internet service provider, Your access ID, and Your Password.

    The username and Password You create is for Your use only and will give You access to secured areas of the site. Without Your unique username and Password, You will be unable to access these secured areas. Using Your Password has the same effect as Your signature authorizing Transactions.

    You agree to protect Your username and Password. If You disclose this username and Password to anyone else, they may be able to access Your personal financial information and Accounts. The act of Your sharing of Your username and Password will be deemed to be authorization of this access and disclosure. Anyone to whom You disclose Your Password and anyone who has access to Your Password will have full access to Online Banking Services, including full access to Your Accounts. There is no ability to limit such a person’s authority. You agree to assume responsibility for all Transactions on Your Account through Online Banking Services up to the limits allowed by applicable law.

    If You are not the person whose username and Password is being used to access information on our system, please be advised that this may constitute a fraudulent act. The Identity Theft and Assumption Deterrence Act of 1998, makes identity theft a federal crime with penalties up to 15 years imprisonment and a maximum fine of $250,000. (Title 18 USC 1028)

  7. YOUR LIABILITY
  8. If Your Password has been lost or stolen, tell us at once. Call Integrity First Bank immediately at 715-845-0900, 8:00 a.m. to 5:00 p.m. (Central Standard Time). Telephoning Integrity First Bank promptly is the best way of minimizing Your losses.

    In case of errors or questions regarding Online Banking, or if You believe that someone may or has fraudulently accessed Your Account without Your permission, call Integrity First Bank at 715-845-0900, or write us at:

  9. ERRORS OR QUESTIONS ABOUT ELECTRONIC TRANSFERS
  10. We must hear from You at the specified telephone number or address no later than sixty (60) days after we sent You the first statement on which the problem or error appeared. We will need:

    1. Your name and Account number (if any)
    2. A description of the error or the transfer in question, and an explanation concerning why You believe it is an error or need more information
    3. The dollar amount of the suspected error
    4. The date on which it occurred

    If the report is made orally, we may require that You send the complaint or question in writing within ten (10) Business Days from Your initial contact. If we ask You to put Your complaint or question in writing and we do not receive it within ten (10) Business Days, we may not credit Your Account.

    We will notify You with the results of the investigation within ten (10) Business Days and will correct any error promptly. If more time is needed, however, we may, at our sole discretion, take up to forty-five (45) days to investigate a complaint or question. If this occurs, we will credit Your Account within ten (10) Business Days for the amount You think is in error. This will allow You to use the money during the time it takes us to complete our investigation. If Your complaint or question is not received in writing within ten (10) Business Days from Your original contact, we may not credit Your Account until the investigation is completed. If we determine that no error occurred, we will send You a written explanation within three (3) Business Days after the investigation is complete. You may request copies of the documents that were used in the investigation.

  11. BILL PAYMENT SERVICE
  12. By signing this Agreement, You will have the ability to enroll in Integrity ePay, our online bill payment service system. Please see the Terms and Conditions of the Bill Payment Service for details on the convenient bill payment service.

  13. HOURS OF OPERATION
  14. The Services are available 24 hours-a-day, seven days-a-week, except during special maintenance periods. For purposes of Transactions, Integrity First Bank's Business Days are Monday through Friday, excluding Federal holidays.

    The Bank can process a Transaction on the same Business Day as Your instructions, if we receive Your instructions before our Online Banking Cutoff Time. If we receive Your instruction after the Cutoff Time, we will process the Transaction on our next Business Day. All Online Banking Transaction requests received after 6:00 p.m. Central Time on Business Days, and all Transactions which are requested on Saturdays, Sundays, or holidays on which Integrity First Bank chooses to remain closed, will be processed on the next Integrity First Bank Business Day. Integrity First Bank's Business Day begins at 8:00 a.m.

    You may cancel or edit a Transaction prior to the Cutoff Time, 6:00 p.m. Central Time, on the day prior to the Processing Date. If we do not receive Your complete and accurate instruction canceling or editing a Transaction prior to such times, we will process the Transaction.

  15. OVERDRAFTS
  16. When You schedule a Transaction using Online Banking Services, You authorize us to withdraw the necessary funds from Your Account with us. We debit the amount of Your Transaction on the Business Day You instruct us to process the Transaction between Your Accounts. Each instruction to us to withdraw or transfer from an Account is an order to us to pay from that Account on the specified Processing Date. We may charge Transaction against the Account even though the charge creates an overdraft or constitutes a draw against unavailable funds. If You overdraw Your Account, You agree to immediately pay us the overdrawn amount together with any applicable fees. See the Deposit Account Agreement for details. If the Account is maintained in connection with an overdraft credit plan, any overdraft will be made in accordance with the agreement or rules governing that Account rather than this Agreement.

  17. FUNDS TRANSFER LIMITATIONS
  18. For security reasons, there are limits on the number of transfers You can make using Online Banking. We reserve the right to prohibit and/or reject Transactions involving internet gambling.

    You may transfer available funds through Online Banking, subject to funds availability. See the deposit Account agreement "Funds Availability Policy Disclosure" section for more information. The Federal Reserve Reg. D limits the total number transfers made by check, telephone, Online Banking and overdraft protection, as well as preauthorized transfers (including check card purchases, automatic transfers and wire transfers) to six (6) per calendar month for savings and money market Accounts not on a combined statement, or statement period for savings and money market Accounts on a combined statement.

  19. FEE SCHEDULE
  20. Please refer to Integrity First Bank’s Fee Schedule for other charges that may be charged to Your Account. These fees are subject to change. Integrity First Bank will notify You in writing regarding any fee changes at least thirty (30) days in advance of the effective date of these changes.

  21. The foregoing provision constitutes Your exclusive remedy under this Agreement. In no event shall Online Banking, Integrity First Bank, or its employees be liable for any direct, indirect, special, incidental, consequential, or punitive damages, whether claimed by You, any third party, or otherwise.

    LIMIT OF INTEGRITY FIRST BANK AND OTHER SERVICE PROVIDERS RESPONSIBILITY
  22. Integrity First Bank agrees to make reasonable efforts to ensure full performance of Online Banking. We do not warrant that access to www.integrityfirstbank.com will be uninterrupted or error free. You agree to use our site on an "AS IS" and an "AS AVAILABLE" Basis.

    Because of the possibility of human and mechanical error as well as other factors, we disclaim any implied warranty of any kind, including representation about its accuracy, completeness, appropriateness or fitness for a particular purpose, merchantability, non-infringement of third party right, and freedom from computer virus.

    By using our site, You accept at Your own risk that the Internet may not perform as intended despite our best efforts, Your best efforts, and the best efforts of our and Your Internet Service providers. Integrity First Bank is not responsible for any computer virus or related problems. You are responsible for obtaining, installing, maintaining, and operating all computer hardware and software necessary for performing Online Banking. Integrity First Bank will not be responsible for any errors or failures from the malfunction or failure of Your hardware or software.

    Integrity First Bank’s website links to certain contracted Service providers, our vendors, such as iPay. You will be notified if and when Terms and Conditions of access and use change when using Services offered through Integrity First Bank.

    Integrity First Bank will be responsible for acting only on those instructions sent through Online Banking which are actually received, and cannot assume responsibility for malfunctions in communication facilities not under its control which may affect the accuracy or timeliness of messages You send. Integrity First Bank is not responsible for any losses should You give incorrect instructions, or if Your payment instructions are not given sufficiently in advance to allow for timely payment.

    You assume full responsibility for using the information on this site. You understand and agree that we are neither responsible nor liable for any claim, loss, or damage resulting from its use. Any information You receive from Integrity First Bank or other Service Providers is believed to be reliable. However, it can only be provided on a best-efforts basis for Your convenience and is not guaranteed. Integrity First Bank is not liable for any deficiencies in the accuracy, completeness, availability, or timeliness of such information, or for any investment or other decision made using this information.

    The limit of Integrity First Bank's liability shall be as expressly set forth herein. Under no circumstances will Integrity First Bank be liable for Your use of this website in contract, tort, or otherwise for any damages, whether or not foreseeable. These damages include without limitation, direct, indirect, special, consequential, incidental, or punitive damages. By consenting to use the Services, You agree to waive any and all right to any of the aforesaid, and You acknowledge that the limit of Your remedy is as otherwise expressly set forth herein.

  23. PRIVACY
  24. The circumstances under which we may provide information about Your Accounts to affiliates and/or third parties are as set forth in our current privacy notice, entitled: “What Does Integrity First Bank Do With Your Personal Information?" You agree that we may deliver our privacy notice to You by making it available on www.integrity firstbank.com. You may access the privacy notice on www.integrityfirstbank.com, or request a paper copy by writing to us at Integrity First Bank, 101 Grand Avenue, Wausau, WI 54403.

  25. GOVERNING LAW
  26. You acknowledge and expressly agree that this Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, except only as may be superseded by or otherwise controlled under applicable federal banking regulations with respect to any action or proceeding to enforce any liability or obligation of this Agreement.

  27. INACTIVITY / TERMINATION
  28. You are responsible for complying with all the terms of this Agreement and with deposit account agreement which You access using Online Banking Services. We can terminate Your Online Banking Services privileges under this Agreement without notice to You for any reason; or if You do not pay any fee required by this Agreement when due, if You do not comply with the Agreement governing Your deposit or loan Accounts, or Your Accounts are not maintained in good standing. However, termination of this Agreement will not affect the rights and responsibilities of the parties for Transactions initiated before termination. We will promptly notify You if we terminate this Agreement or Your use of the Online Banking Services for any other reason.

    If You are not paying a monthly service charge for the Online Banking Services, we may convert Your Account to inactive status if You do not sign on to the Online Banking Services or have any Transaction scheduled through the Online Banking Services during any consecutive ninety (90) day period. If Your Account is considered inactive, You must contact us to have the Online Banking Services activated before You will be able to schedule any Transaction through the Online Banking Services.

    To cancel Online Banking Services, You must notify Integrity First Bank and provide Your name, address, and the effective date to stop the Online Banking Services. You may notify Integrity First Bank by calling 715-845-0900, 8:00 a.m. to 5:00 p.m. Central Time or by writing a letter and either sending it to the following address or giving it to a Banker at:
